By accessing or using Ezvento (“the Service”, “the Platform”, “we”, “us”), you (“User”, “you”, “your”) agree to be bound by these Terms & Conditions (“Terms”). If you are using Ezvento on behalf of a business, you represent that you have the authority to bind that business to these Terms.

If you do not agree to these Terms, do not access or use the Service. These Terms apply to all visitors, registered users, and business accounts.

Ezvento is a cloud-based, Software-as-a-Service (SaaS) point-of-sale and business management platform designed for Indian retailers. The Service includes:

• GST billing and invoice generation
• Inventory and stock management
• Customer and credit (udhar) management
• Sales and tax reports (GSTR-1, GSTR-3B)
• Multi-store and multi-user management
• Offline-first POS functionality
• E-invoice generation for B2B transactions

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practical.

To use Ezvento, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated
• Keep your password confidential and not share it with anyone
• Accept full responsibility for all activity that occurs under your account
• Notify us immediately at legal@ezvento.com if you suspect unauthorised access to your account
• Not create more than one account per business without prior written consent

We reserve the right to suspend or delete accounts that contain false information, are inactive for more than 12 months (with prior notice), or violate these Terms.

Ezvento is currently free to use. The following plan is available:

• No payment is required at this time — all features are available for free
• We reserve the right to introduce paid pricing in the future with at least 60 days' advance written notice via email before any charges apply
• If paid tiers are introduced, existing users will not be charged without explicit opt-in or the required notice period

Ezvento is free for all users. No trial period, no credit card, and no expiry — access all features at no cost.

• All accounts have full access to every feature from day one
• If paid pricing is introduced in the future, you will receive at least 60 days advance notice by email
• Your data is kept securely regardless of any future pricing changes

You agree to use Ezvento only for lawful business purposes. You must not:

• Use the Service for any unlawful activity, including generating fraudulent invoices or evading taxes
• Attempt to gain unauthorised access to any part of the Service, other accounts, or our infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape or bulk-export data in ways that harm platform performance
• Resell, sublicense, or white-label the Service without a written agreement with Ezvento
• Upload malware, viruses, or any harmful content
• Interfere with or disrupt the integrity or performance of the Service

Violation of these terms may result in immediate account suspension without refund.

You own your data. All business data you enter into Ezvento — your products, customers, invoices, inventory records — belongs to you.

• We only process your data to provide and improve the Service
• We will never use your business data for advertising or sell it to third parties
• You can export your data at any time from the Settings page in your account
• Upon account deletion, we delete your data within 30 days (except where legal retention applies)

By uploading data to Ezvento, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display your data solely for the purpose of providing the Service to you.

Ezvento helps you generate GST invoices and prepare GSTR-1 and GSTR-3B report files that you can import into the Government of India GST Returns Offline Tool. Ezvento is a software tool to assist you — it is not a chartered accountant, tax advisor, or legal counsel, and it does not file returns on your behalf. Please note:

• Ezvento does not guarantee that any invoice, report, or figure is complete, accurate, or compliant with applicable law. You must review the figures — yourself or with a qualified tax professional — before you file.
• You are solely responsible for the accuracy of your GSTIN, HSN/SAC codes, tax rates, place of supply, and business details entered into the platform, and for the correctness and timeliness of every return you file.
• We are not liable for any tax, interest, penalty, assessment, notice, demand, or other loss or consequence arising from your use of the platform, from any error, omission, or delay in the software or its data, or from your reliance on any figure without independent verification.
• Tax laws, rates, and formats change; we make reasonable efforts to keep the software current but do not warrant that it reflects the latest legal position at any given time.

The Service is provided on an “as is” and “as available”basis, without warranties or conditions of any kind, whether express, implied, or statutory, to the maximum extent permitted by applicable Indian law. This includes, without limitation, any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that any defect will be corrected, or that the results obtained from using the Service (including any tax figures or reports) will be accurate or reliable. You use the Service at your own risk and are responsible for maintaining your own records and backups.

We aim to keep Ezvento available and reliable and operate on industry-standard cloud infrastructure, but we provide the Service on an “as available”basis and do not guarantee any particular level of uptime or uninterrupted access.

• We may perform maintenance, updates, or changes at any time, and will give advance notice of planned downtime where reasonably possible
• Ezvento's offline-first design means you can continue billing during internet outages, with data syncing when you reconnect
• We are not liable for any loss (including indirect or consequential loss) arising from downtime, delays, or unavailability of the Service

To the maximum extent permitted by applicable Indian law, Ezvento and its team shall not be liable for:

• Indirect, incidental, consequential, special, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your reliance on the platform for tax compliance without independent verification

To the maximum extent permitted by applicable law, our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the greater of (a) the total fees you actually paid to Ezvento for the Service in the three months preceding the event giving rise to the claim (which, while the Service is free, is nil), or (b) ₹1,000 (one thousand rupees).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable Indian law.

You may cancelyour subscription at any time from your account's Billing Settings. Access continues until the end of the current billing period.

We may terminate your account if you:

• Violate these Terms in a material way
• Fail to pay your subscription for more than 7 days after the due date (after two reminders)
• Use the Service for unlawful purposes

Upon termination, we will retain your data for 30 days so you can export it. After that, data is permanently deleted except where required by law.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or the use of Ezvento shall be subject to the exclusive jurisdiction of the courts at Salem, Tamil Nadu, India.

Before initiating formal proceedings, we encourage you to contact us at legal@ezvento.com — most issues can be resolved quickly through direct communication.

We may update these Terms from time to time. When we make significant changes, we will:

• Send you an email notification at least 14 days before the new Terms take effect
• Post a notice within the Ezvento app
• Update the “Last updated” date at the top of this page

Your continued use of Ezvento after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree with the changes, you may cancel your account before the effective date.
